Course description and aims

The Business Law is a practical learning area involving many legal fields from corporate foundation, growth expansion, listing and disappearance. Particularly in recent years, interest has gained in areas such as venture creation, financing, M & A, intellectual property, overseas expansion and so on. This quarter of this term is to be opened with the aim of being able to acquire business law mind from both aspects of law necessary for business activities and intellectual property law related to competitive advantage. The lecture time was set from 4:50 pm to 8 o'clock in the afternoon so that working students can easily participate in. Furthermore, in the following schedule, in order to advance lectures two frames a day, we made it possible to concentrate and complete the course in a short period of time.
I would like to consider essential laws related to the management of a company that entrepreneurs themselves, and concrete measures for the meaning and utilization of incorporating the utilization of intellectual property to enhance competitiveness.

Student learning outcomes

In the first half, as an outline of the business law, when acquiring basic knowledge on commercial transactions and contracts, real estate contracts, corporate law, management structure of the corporation, monitoring and supervision, M & A and organization restructuring, and in the future when going to management side in corporate activities, let's obtain the basic sense of legal management.
In the second half, we deepen the understanding of intellectual property laws and intellectual property management deeply related to strengthening the competitiveness of enterprises. When the student who took this lecture actually starts up, the goal is to be able to take effective action with knowledge on intellectual property law.

Class 1 Business and Law - Introduction Understand the structure of the entire lecture of business law. Understand the subject matter of business law to be mentioned in this lecture.
Class 2 Relationship between business and law Business consists of commercial transactions with many stakeholders, and it is the contract to establish these business transactions. There are also various related laws that support business, so it is important for businessmen to have the intuition of the law in order to grow their own companies. Here, we overview the overall picture of business related laws.
Class 3 Commercial transactions and contracts Business education is thriving in university. For employment to be active in society, it is necessary for students to understand "relationship between business and contract". Wear basic knowledge.
Class 4 Real estate agreement Understand the difference between property rights and credits and think about problem cases that occur at the business site. It aims at acquiring legal mind.
Class 5 Company Law In transactions between companies, unlike private transactions assumed by the Civil Code, routine work is continuously and repeatedly performed in large quantities. Therefore, the rules that stipulate rational treatment according to the characteristics of commercial transaction are the Commercial Law and the Company Law, which is essential knowledge for corporate management.
Class 6 Management organization and supervision and supervision of corporation A business operator is a corporation. Especially, strict rules are applied to listed companies. Risk management, compliance with laws relating to corporate governance, etc. It is necessary to conduct company management according to the requirements of legal rules. Class 9 Bird's-eye view of intellectual property protection system In science and engineering universities and graduate schools, among the intellectual property rights-related laws, especially focusing on patents for the creation of technical ideas for protected objects, learn about the world situation around the patent system, and grasp the outline.
Class 10 Current situation and issues surrounding intellectual property administration We invite the planning coordinator of the Patent Office as a guest, and provide information from the front line person about the present situation and issues concerning intellectual property administration.
Class 11 Search, analysis and application examples of patent information How to utilize technical information included in a huge amount of patent information for strategic planning. For the patent information database and its retrieval method, a specialist from the patent office of the Patent Office will give explanations.
Class 12 Intellectual Property Strategy Formulation Process I would like to learn the strategy and the basic method of strategy formulation, and also think about the relationship between management strategy and IP strategy. In addition, we present exercises for IP strategy formulation and prepare for the next group presentation.
Class 13 Intellectual property strategy formulation exercise Present results of group discussion on exercises presented in advance. I would like to have an opportunity to further deepen understanding of intellectual property strategy formulation through exercise.
Class 14 Intellectual Property Strategy of company We will touch on the actual facts of intellectual property management at major manufacturers in Japan and strengthen the viewpoint to strengthen the growth of companies through intellectual property.
Class 15 Company's globalization and intellectual property rights Research results from science and engineering universities and national research institutes have been drawing attention for their own entrepreneurship and industry-university collaboration is promoted for commercialization, but there are also many tasks there. I would like to think about how to effectively promote industry-university collaboration.
